These Terms and Conditions (“Terms”) govern the sale and supply of goods by Goldview Bros Limited (“We,” “Us,” or “Our”), a private limited company incorporated in England and Wales, to you (“You” or “Customer”). By placing an order with Us, You agree to be bound by these Terms.

1. Definitions

• Goods:Watches, jewellery, and related accessories supplied by Us.
• Order:Your request to purchase Goods from Us.
• Price:The cost of the Goods as quoted, exclusive of VAT and delivery charges unless otherwise stated.
• Contract:The agreement between You and Us, comprising these Terms and the accepted Order.

2. Basis of Contract

2.1 These Terms apply to all sales of Goods by Us to You, to the exclusion of any other terms You may seek to impose unless agreed in writing by an authorised representative of Goldview Bros Limited.
2.2 An Order constitutes an offer by You to purchase Goods under these Terms. A Contract is formed when We accept Your Order in writing or dispatch the Goods, whichever occurs earlier.
2.3 We reserve the right to refuse any Order at Our sole discretion.

3. Goods

3.1 The Goods are as described in Our catalogues, website, or quotations. Images and descriptions are for illustrative purposes only and may vary slightly.
3.2 We may alter specifications of the Goods without notice, provided such changes do not materially affect their quality or performance.
3.3 All Goods are sold wholesale and intended for resale, not personal use, unless otherwise agreed.

4. Pricing and Payment

4.1 The Price is as stated in Our current price list or quotation at the time of Your Order, exclusive of VAT and delivery charges unless specified. Prices are in British Pounds (GBP).
4.2 We may adjust the Price before dispatch due to factors beyond Our control (e.g., exchange rate fluctuations, increased material costs), provided We notify You of such changes. You may cancel the Order if You do not accept the revised Price.
4.3 Payment is due within [e.g., 30] days of the invoice date unless otherwise agreed in writing. Time for payment is of the essence.
4.4 Late payment incurs interest at 8% per annum above the Bank of England base rate, calculated daily until full payment is received.

5. Delivery

5.1 Delivery is to the address specified in Your Order or as otherwise agreed. Delivery dates are estimates only and not guaranteed.
5.2 Delivery charges are additional to the Price and will be invoiced accordingly.
5.3 Risk in the Goods passes to You upon delivery. Title remains with Us until full payment is received.
5.4 You must inspect the Goods upon delivery and notify Us of any defects or shortages within [e.g., 7] days. Failure to do so deems the Goods accepted.

6. Returns and Refunds

6.1 Returns are accepted only with Our prior written consent and if the Goods are unused, in original packaging, and in resaleable condition.

9.2 You may not reproduce, modify, or distribute Our intellectual property without prior written consent.

10. Force Majeure

10.1 We are not liable for delays or failure to perform due to events beyond Our reasonable control (e.g., strikes, supply chain disruptions, natural disasters).

11. Governing Law and Jurisdiction

11.1 These Terms and any disputes arising from them are governed by the laws of England and Wales.
11.2 Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

12. General

12.1 These Terms constitute the entire agreement between You and Us regarding the Goods.
12.2 No variation to these Terms is effective unless made in writing and signed by Our authorised representative.
12.3 If any provision is found invalid, the remaining provisions remain in full force.
12.4 Notices must be in writing and delivered by hand, post, or email to the addresses provided.
